1.Agreement and scope

These Terms of Service (the “Terms”) apply to the services provided by HephaKnot, a company based in Hong Kong: our websites at hephaknot.com and docs.hephaknot.com, the HephaKnot Console at console.hephaknot.com and the Knotest desktop app (together, the “Services”).

By using the Services, you agree to these Terms. If you use them on behalf of an organisation, you confirm that you are authorised to accept these Terms for it, and “you” includes that organisation.

Many customers use Knotest under a signed agreement with HephaKnot, such as a licence agreement, quotation, purchase order or tender contract (a “Customer Agreement”). Where a Customer Agreement conflicts with these Terms, the Customer Agreement prevails.

Our Privacy Statement explains how we handle personal data.

2.Accounts and access

  • Access to the HephaKnot Console is by invitation. Use only the account we set up for you.
  • Keep your sign-in methods secure, including any Google account you use to sign in, and do not share your credentials.
  • Tell us promptly at info@hephaknot.com if you suspect unauthorised use of your account.
  • You are responsible for activity under your account and for keeping your contact details accurate.
  • We may suspend access where needed to protect the Services or other customers, or when the reason for your invitation ends.

3.Licences for Knotest

Knotest is licensed, not sold. Subject to these Terms, your Customer Agreement and payment of any applicable fees, we grant you a non-exclusive, non-transferable licence to install and use Knotest for your internal business purposes during your licence term, on up to the number of installations your licence allows, with the features your licence includes.

Each installation must be activated through the HephaKnot Console. Knotest renews a time-limited licence lease online. If it cannot renew before the lease ends, licensed features may stop working until it can. You can ask us to deactivate an installation, for example when you replace a computer.

You must not:

  • bypass, disable or tamper with licence checks, activation limits or other technical protections;
  • share licence credentials or copy an activated installation to another computer;
  • reverse engineer, decompile or disassemble Knotest, except where the law expressly allows it;
  • sublicense, rent, resell or provide Knotest to third parties as a service, unless we agree in writing; or
  • remove or change any proprietary notices.

Knotest includes third-party components, such as open-source software and optional inference engines, that are licensed under their own terms. Some engines ask you to accept their licence before Knotest can run them.

Evaluation or trial licences may be limited in time and features, and are provided without any commitment of support.

4.Acceptable use

When you use the Services, you must not:

  • break the law or infringe anyone else’s rights;
  • try to gain unauthorised access to the Services, other accounts or our systems;
  • interfere with the Services, for example by overloading the Console or the update service with automated requests;
  • upload or distribute malicious code; or
  • give false information in a licence request or use the contact form to send spam.

You are responsible for the data and models you evaluate with Knotest, for having the rights to use them, and for how you use the results.

5.Customer data

“Customer Data” means the datasets, models, projects, evaluation results, reports and evidence that you create or use with Knotest.

  • Knotest processes Customer Data on your computers. We do not receive it unless you choose to send it to us, for example in a support email.
  • You own your Customer Data and the results Knotest produces from it. We claim no rights in them.
  • If you send us Customer Data for support, we use it only to provide that support, and we handle it in line with our Privacy Statement and any Customer Agreement.
  • You are responsible for backing up Customer Data and for the security of the computers that hold it.
  • If you connect Knotest to a third-party service, such as a model API or a Project Operator provider, the data you send to that service is governed by its terms.

6.Intellectual property

HephaKnot and its licensors own the Services, including the Knotest software, its documentation, the content of our websites and the HephaKnot and Knotest names and logos. These Terms give you no rights in them except those they expressly grant.

You may read and share links to our website and documentation. Do not copy or republish their content for commercial purposes without our permission.

If you send us suggestions or feedback, we may use them without any obligation to you.

7.Third-party services

The Services rely on, and link to, services run by others, such as Sign in with Google and the providers that host, secure and deliver our services. Knotest can also connect to third-party model services that you configure. Their own terms govern your use of them, and we are not responsible for them.

8.Availability and changes

We work to keep the Services available, but we do not guarantee that they will be uninterrupted or error-free. We may need to take them offline for maintenance.

We may change, add or remove features. Where a change would materially reduce the functionality of a paid licence during its term, we will tell you in advance where reasonably possible, and your Customer Agreement governs any remedy.

Knotest updates are provided through our update service. Some fixes may require you to update to a supported version.

9.Disclaimers

Except as expressly stated in a Customer Agreement, the Services are provided “as is” and “as available”. To the extent the law allows, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement.

Knotest helps you test models and data, but its results depend on the data, models, tests and settings you choose. They do not guarantee how a model will perform in production, or that it complies with any law or standard. You remain responsible for decisions you make based on them.

Articles, case studies and other content on our websites are general information, not professional advice.

10.Limitation of liability

To the extent the law allows, HephaKnot is not liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, data or goodwill, arising from or related to the Services.

To the extent the law allows, our total liability for all claims related to the Services is limited to the greater of the amount you paid us for the Service concerned in the 12 months before the claim arose and HK$1,000.

Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence. Where a Customer Agreement sets different liability terms, those terms apply.

11.Termination

  • You may stop using the Services at any time.
  • We may suspend or end your access if you materially breach these Terms, if the law requires it or if it is necessary to protect the Services. For paid licences, your Customer Agreement governs termination.
  • When a licence ends, you must stop using the licensed features, and Knotest will no longer renew its licence lease. Your Customer Data remains on your computers.
  • Sections that by their nature should continue after termination, including those on intellectual property, disclaimers, limitation of liability and governing law, continue to apply.

12.Governing law and disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region. If a dispute arises, please contact us first so that we can try to resolve it informally. If we cannot, the courts of the Hong Kong Special Administrative Region have exclusive jurisdiction. Where a Customer Agreement sets out a different dispute resolution process, that process applies.

13.Changes to these Terms

We may update these Terms. We will publish the updated version here with a new “Last updated” date, and tell Console users about material changes in advance. Continuing to use the Services after a change takes effect means you accept the updated Terms. Changes do not apply to events that happened before they took effect.

14.Contact

If you have a question about these Terms, email HephaKnot at info@hephaknot.com.
